International Container Terminal Services, Inc. (ICTSI) has completed the acquisition of Companhia Regional de Armazéns Gerais e Entreposto Aduaneira (CRAGEA), which provides general and bonded warehousing, and multimodal logistics services.
The completion follows the satisfaction of all conditions precedent to closing, including the required regulatory approvals, ICTSI said in a regulatory disclosure on July 9.
Last June, ICTSI said the acquisition of 100% interest in CRAGEA, located in São Paulo, was made through ICTSI’s wholly-owned subsidiary, IRB Holding Ltd.
ICTSI said this transaction represents an expansion of its business activities in Brazil offering differentiated and strategic solutions to increase operational and energy efficiency through the use of the rail as the preferred transport mode, mitigation of logistical bottlenecks, expanding the hinterland of its port assets and offering safe and innovative alternatives for foreign trade customers.
The total consideration, which is less than 10% of ICTSI’s total consolidated shareholders’ equity as of December 31, 2025 and March 31, 2026, was negotiated and will be paid in cash.
ICTSI said the transaction is not deemed to have a material impact on its financials in the immediate future.
ICTSI is currently present in Brazil through Rio Brasil Terminal, which operates Container Terminal 1 at the Port of Rio de Janeiro, and Tecon Suape S.A., which operates Suape Container Terminal in Pernambuco. ICTSI also operates CLIA Pouso Alegre, an off-dock customs bonded facility in Minas Gerais.

Last year, ICTSI, through its wholly-owned subsidiary, ICTSI Americas B.V., acquired a 47% interest in Inhaúma Fundo De Investimento Imobiliário – FII, which has perpetual rights in a property that has approximately 32 hectares of inactive shipyard. The property, which is adjacent to ICTSI Rio, will be used in the immediate future as additional capacity for the terminal’s existing operations, and as future development of a private use terminal.
