International Container Terminal Services, Inc. (ICTSI) has acquired the remaining 30% equity interest in iTracker Logistica Inteligente, raising its ownership from 70% to 100% of the Brazil-based multimodal logistics provider.
ICTSI in a regulatory disclosure on September 25 said it signed the share purchase agreement for the acquisition, with the total consideration – which is less than 10% of ICTSI’s total consolidated shareholders’ equity as of December 31, 2025, and June 30, 2026 – negotiated and paid in cash.
iTracker provides eco-efficient solutions to users of the Port of Rio de Janeiro, Brazil as a full intermodal logistics provider. Its services include an empty container depot, export container freight station, general warehousing, distribution center, and road and railway transportation.
ICTSI said iTracker contributes less than 1% to the company’s consolidated financial performance, with no material impact on the company’s future financial results.
In July 2022, ICTSI, through its wholly-owned subsidiaries, IRB Logistica, ICTSI Rio, IABV and IRB Holding, entered into definitive agreements with a local Brazilian logistics operator, Tracker Logistica, to constitute a new logistics and warehousing operation, the “iTracker Project”. As part of the Project, in July 2023, IRB Holding Ltda acquired a 70% stake in iTracker, through offsetting of advances, for a consideration of US$2.7 million.
Aside from iTracker, ICTSI is currently present in Brazil through Rio Brasil Terminal, which operates Container Terminal 1 at the Port of Rio de Janeiro, and Tecon Suape S.A., which operates Suape Container Terminal in Pernambuco. ICTSI also operates CLIA Pouso Alegre, an off-dock customs bonded facility in Minas Gerais.

Last year, ICTSI, through its wholly-owned subsidiary, ICTSI Americas B.V., acquired a 47% interest in Inhaúma Fundo De Investimento Imobiliário – FII, which has perpetual rights in a property that has approximately 32 hectares of inactive shipyard. The property, which is adjacent to ICTSI Rio, will be used in the immediate future as additional capacity for the terminal’s existing operations, and as future development of a private use terminal. Last June, ICTSI also acquired Companhia Regional de Armazéns Gerais e Entreposto Aduaneira (CRAGEA), which provides general and bonded warehousing, and multimodal logistics services.
