The Philippine Competition Commission (PCC) cleared the sale of Aboitiz Equity Ventures Inc.’s (AEV) 40% stake in its infrastructure arm, Aboitiz InfraCapital, Inc. (AIC), to Global Infrastructure Partners (GIP) through GIP EM Onyx Pte. Ltd.
In a regulatory disclosure on June 11, AEV said it received on the same day a certificate issued by the PCC clearing the transaction.
The approval follows the December 23, 2025 signing of a share subscription and purchase agreement between AEV, AIC, and GIP. Under the deal, GIP, a part of multinational investment firm BlackRock, will acquire a 40% stake in AIC with a total investment of P13.7 billion through a combination of a secondary share purchase from AEV and a primary share subscription in AIC.
AEV said the transaction is intended to bring in a strategic investor in AIC. GIP brings deep global experience in infrastructure investing across transport, energy, water and digital assets, with a strong focus on operational excellence, sustainability and long-term value creation.
GIP’s entry will support AIC’s existing infrastructure platform and provide access to additional institutional expertise, best practices and resources.
The transaction also supports AEV’s disciplined portfolio management approach and its broader transformation into a techglomerate, while driving inclusive growth and long-term stakeholder value.
AEV will retain a 60% controlling interest in AIC, which develops, operates, and manages investments in critical infrastructure across airports, water and wastewater, and digital infrastructure, providing platform governance and shared services across its portfolio.
Among AIC’s ventures are the Mactan-Cebu International Airport, Panglao International Airport in Bohol, and the Laguindingan International Airport in Misamis Oriental, Northern Mindanao.
